1. Acceptance of Terms

By accessing or using the Prophytes platform, including our website (Prophytes.com), mobile application, and any related products or services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use Prophytes.

We may update these Terms from time to time. Continued use of Prophytes after changes are posted constitutes your acceptance of the updated Terms. We will notify you of material changes via email or in-app notice where appropriate.

2. Eligibility

To use Prophytes, you must:

• Be at least 18 years of age
• Be a current or alumni member of a recognized Black Greek-letter organization (BGLO)
• Provide accurate and truthful information during registration and verification
• Not be prohibited from using our services under applicable law

Prophytes reserves the right to verify membership and deny or revoke access to any account that does not meet eligibility requirements.

3. Account Registration & Verification

To access most features, you must register an account and complete member verification. You agree to:

• Provide accurate information including your name, organization, chapter, and crossing year
• Submit valid documentation for membership validation when requested
• Keep your account credentials secure and confidential
• Notify us immediately at support@prophytes.com if you suspect unauthorized access to your account

You are responsible for all activity that occurs under your account. Prophytes reserves the right to suspend or terminate accounts that contain false information or violate these Terms.

4. Platform Features

a. Direct Messaging

Verified members may send direct and group messages to other verified members. New conversations are initiated in a pending state and must be accepted by the recipient before becoming active. You agree not to use messaging to harass, solicit, spam, or send any content that violates these Terms or applicable law.

b. Events & Chapter Features

Verified members may create, publish, and manage chapter events, including RSVPs, volunteer roles, and event flyer uploads. You represent that any event you create complies with applicable laws and does not infringe any third-party rights. Event content must not be misleading, unlawful, or in violation of these Terms.

c. Blast Credits

Blast Credits are virtual credits purchased through the platform via Stripe and applied to eligible features. Blast Credits are non-refundable, non-transferable, and have no cash value. Prophytes reserves the right to modify, suspend, or discontinue the Blast Credits program at any time with notice.

d. Push Notifications

By enabling push notifications, you consent to receiving platform-related alerts via Firebase Cloud Messaging. You may opt out at any time through your device settings or within the Prophytes app.

e. Chapter Management

Chapter Officers and Presidents may manage chapter settings, member roles, and chapter events. Role assignments are subject to verification by Prophytes. Officers and Presidents are responsible for ensuring chapter activities comply with these Terms.

5. Acceptable Use

You agree not to use Prophytes to:

• Post, transmit, or share content that is unlawful, harassing, defamatory, obscene, or fraudulent
• Impersonate another person, organization, or BGLO chapter
• Upload or distribute malware, viruses, or any harmful code
• Attempt to gain unauthorized access to any part of the platform or another user's account
• Scrape, crawl, or harvest data from the platform without written consent
• Use the platform for commercial solicitation, spam, or unauthorized advertising
• Violate any applicable federal, state, or local laws or regulations

Prophytes reserves the right to remove any content and suspend or terminate any account that violates these standards, at our sole discretion.

6. User Content

You retain ownership of content you create and upload to Prophytes (including event flyers, messages, and profile information). However, by submitting content to the platform, you grant Prophytes a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content solely for the purpose of operating and improving the platform.

You represent and warrant that you own or have the necessary rights to any content you submit, and that it does not infringe any third-party intellectual property rights.

7. Payments & Billing

Certain features of Prophytes require payment, including subscriptions and Blast Credits. All payments are processed through Stripe, a third-party payment processor. By making a purchase, you agree to Stripe's Terms of Service.

• All prices are in USD unless otherwise stated
• Subscription fees are billed on a recurring basis and will auto-renew unless cancelled before the renewal date
• Blast Credits are non-refundable and non-transferable
• You are responsible for all charges associated with your account, including applicable taxes

8. Intellectual Property

All content, branding, logos, software, and design elements of the Prophytes platform are the exclusive property of Prophytes or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from any Prophytes content without express written permission.

9. Privacy

Your use of Prophytes is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the platform, you consent to our collection and use of data as described in the Privacy Policy.

10. Disclaimers

Prophytes is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.

Prophytes does not verify, endorse, or take responsibility for the accuracy of member-submitted content, event details, or chapter information.

11. Limitation of Liability

To the fullest extent permitted by law, Prophytes and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform, including but not limited to loss of data, loss of revenue, or damages resulting from unauthorized access to your account.

Our total liability to you for any claim arising from these Terms or your use of Prophytes shall not exceed the greater of (a) the amount you paid to Prophytes in the twelve months preceding the claim, or (b) $100 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless Prophytes and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the platform
• Your violation of these Terms
• Your content submitted to the platform
• Your violation of any third-party rights

13. Termination

Prophytes reserves the right to suspend or terminate your account and access to the platform at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to other users, Prophytes, or third parties.

You may delete your account at any time by contacting us at support@prophytes.com. Upon termination, your right to use the platform immediately ceases. Provisions of these Terms that by their nature should survive termination will remain in effect.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the state in which Prophytes is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the courts of competent jurisdiction in that state.

15. Changes to These Terms

We may revise these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page. For material changes, we will provide notice via email or in-app notification. Your continued use of the platform after changes take effect constitutes your acceptance of the revised Terms.
